Sales Terms and Conditions

Applicability
All sales of Goods by Seller to a Buyer are governed by these Terms and Conditions. Seller rejects any terms proposed by Buyer that differ from these. Buyer's acceptance or use of the Goods is deemed assent to these Terms and Conditions.
Order Confirmations
Orders placed by Buyer are not binding on Seller until accepted via a written Order Confirmation; if none is issued, acceptance is deemed to occur once Seller begins production of the ordered Goods.
Price
The price and currency stated in the Order Confirmation are the agreed price and currency; for multiple or future deliveries, Seller may revise these in subsequent Order Confirmations.
Invoices and Payment
Seller may invoice Buyer during or after shipment. Interest may be charged on late payments up to the maximum permitted by law. If the remaining balance for goods already shipped after a down payment is not paid in time, Seller may redirect the Goods to another buyer or country, and the down payment is retained as liquidated damages, non-refundable under any circumstances.
Taxes
Unless otherwise agreed in writing, Seller's price does not include any applicable taxes, duties or levies (including VAT); Buyer is responsible for their payment.
Delivery Terms and Date
Goods are delivered in accordance with the delivery terms and place stated in the Order Confirmation. The delivery date is an estimate only; Seller is not liable for losses arising from delivery delays.
Transfer of Ownership and Risk of Loss
Risk of loss and ownership of the Goods pass to Buyer at the time of delivery. Buyer is solely responsible for completing customs clearance and timely withdrawal of containers at the destination port; any resulting demurrage, storage, detention costs or administrative fines are invoiced to Buyer.
Suspension and Termination of Order Confirmations
If Buyer breaches its obligations, becomes insolvent, or enters liquidation or bankruptcy proceedings, Seller may suspend delivery, demand return of delivered but unpaid Goods, and/or terminate the order — in which case all of Seller's claims against Buyer become immediately due.
Warranties
Seller warrants that the Goods conform to its standard specifications at the time of shipment, are produced in compliance with the Turkish Food Codex and applicable food regulations, do not contain any pork or pork-derived ingredients, and are produced under "Halal Slaughter" standards. Seller is not liable for non-conformity resulting from shipping, handling, storage or use after the Goods leave Seller's control. No other warranty, express or implied, is given.
Inspection; Claims for Non-Conforming Goods
Buyer must promptly inspect the Goods upon receipt. All claims, including breach of warranty, must be submitted in writing within three (3) calendar days of receipt, supported by an independent survey report; claims made outside this period are void. For transport-related issues, Buyer's sole recourse is against the forwarder or shipping line. Where non-conformity is duly proven, Seller will, at its choice, replace, repair, or refund; Goods may not be returned without Seller's prior written consent.
Limitation of Liability
Seller's aggregate liability to Buyer for any claim will never exceed the total price paid by Buyer for the specific Goods concerned. No claim may be made for indirect, incidental, consequential, punitive, or lost profit/revenue/reputation damages.
Information; Buyer's Finished Products
Any data Seller provides regarding use of the Goods carries no warranty; Buyer bears full responsibility and risk for testing and determining the suitability and legality of using the Goods in its own finished products.
Confidentiality and Intellectual Property
All information and materials provided by Seller are confidential and may not be disclosed to third parties. All intellectual property rights relating to the Goods remain the exclusive property of Seller; the sale conveys no license or other IP rights.
Force Majeure
Seller is not liable for failure or delay in performance due to circumstances beyond its reasonable control, including natural disasters, fires, epidemics, war, strikes, port congestion, or unforeseen customs delays.
Compliance with Laws and Trade Control Laws
Both parties must comply with all applicable laws relating to bribery, corruption, anti-money laundering, and international trade control (import/export restrictions, embargoes, sanctions).
Miscellaneous and Assignment
Failure to enforce a right does not waive it. Seller may amend these Terms and Conditions at any time. Buyer may not assign its rights or obligations without Seller's prior written consent.
Applicable Law and Jurisdiction
These Terms and Conditions are governed by the laws of the Republic of Türkiye, with the application of the CISG expressly excluded. Any dispute shall be brought exclusively before the İzmir Courts and Enforcement Offices.
Turkish Version
These Terms and Conditions are prepared in Turkish and English. In the event of any contradiction or discrepancy between the two versions, the Turkish version shall prevail.
